1. Introduction

Welcome to ProxyHub (hereinafter the "Company", "Provider", "we", "our", "us" or "ProxyHub").

These Terms and Conditions (hereinafter the "Terms" or "Terms and Conditions") govern the use and purchase of the digital services provided under the ProxyHub brand, including access to proxy services and related software tools (collectively, the "Service"), available through the website proxyhub.it and the client area app.proxyhub.it, with support through the official Telegram support account @proxyhubcloud.

Our Privacy Policy forms an integral part of these Terms and governs how we collect, use, and protect personal data related to the use of the Service. By using the Service, the User confirms that they have read and understood the Privacy Policy.

By accessing, purchasing, or using the Service, the customer (hereinafter the "User", "Customer", or "you") agrees to be bound by these Terms and by the Privacy Policy (together, the "Agreements"). If the User does not agree with any part of the Agreements, they must not access or use the Service.

These Terms apply to all visitors, Users, and Customers who access, purchase, or use the Service through the website, the client area, or our Telegram support.

2. Definitions

Service: The provision of access to Proxies and the related technical infrastructure.

Proxy: An IP address assigned via mobile or network devices.

Account/Customer Profile: The user profile registered on the ProxyHub website (with email and password or with a Google account) and managed from the client area to access the Service.

Balance/Active Plans: The prepaid funds or active subscription plans/packages associated with the Customer Profile.

3. Scope of Application

3.1 These Terms govern all contracts and legal relationships entered into between ProxyHub (the "Provider") and any natural or legal person who purchases, accesses, or uses the Service (the "User" or the "Customer").

3.2 These Terms apply in particular to the provision of digital services, including, by way of example but not limited to, access to Proxies (shared or dedicated), IP rotation functions, session management, and any related software or configuration. For the purposes of these Terms, "digital content" means data provided in digital format (access credentials, endpoints, configuration parameters).

3.3 Unless expressly agreed in writing by the Provider, no general terms and conditions of the User or Customer shall apply. The Provider expressly rejects the inclusion of the User's own terms and conditions, even if not individually contested.

3.4 Where the User acts as a Consumer, this means a natural person entering into a legal transaction for purposes predominantly unrelated to their trade, business, or profession. Where the User acts as a Business Customer, this means a natural or legal person acting in the exercise of their trade, business, or profession.

3.5 The subject matter of the contract may include access to the Service through subscription plans and/or one-time purchases, as described at the time of purchase. The Provider will supply the User with access credentials for the agreed contractual period.

3.6 If the Provider offers affiliate, referral, or reseller programs, participation in such programs may be governed by separate conditions which, in the event of conflict, shall prevail over these Terms.

3.7 The Provider may amend these Terms to adapt them to legislative changes, security requirements, or variations in the Service. The updated Terms will be communicated to the User through the available contact channels (Telegram or email at info@proxyhub.it). Continued use of the Service after the effective date of the changes constitutes acceptance of the new Terms.

3.8 ProxyHub is a software-based digital service that provides technical connectivity tools. We are not a mobile network operator (MNO), a mobile virtual network operator (MVNO), an internet service provider (ISP), or a public telephone carrier. We do not provide mobile communication services such as voice calls or SMS. ProxyHub does not guarantee the continuous availability of specific IP addresses, network operators, geolocations, or technical connection features, which may vary due to changes, restrictions, or actions taken by network providers.

4. Account Registration and KYC

4.1 Account and Access: To use the Service, the User must create a Customer Profile on the ProxyHub website, with email and password or with their Google account. The User undertakes to provide accurate, complete, and up-to-date information. ProxyHub may refuse the sale or limit access if the information provided appears inaccurate, incomplete, misleading, or raises doubts about security or compliance.

4.2 Responsibility for Credentials: The User is solely responsible for the confidentiality and safekeeping of their access credentials, including endpoints, passwords, API keys, or configuration files. Any activity carried out using the User's credentials will be deemed to have been performed by the User.

4.2a Account Security: The User may turn on two-step verification from the client area Settings and, in that case, must keep the recovery codes safe. If both the authentication device and the recovery codes are lost, restoring access may require identity verification.

4.3 Security and Unauthorized Access: The User must promptly inform ProxyHub of any suspected unauthorized use or compromise of credentials. ProxyHub is not responsible for losses arising from the User's failure to safeguard their credentials.

4.4 Legal Compliance: The User undertakes to use the Service in compliance with the laws applicable in their jurisdiction, these Terms, and the usage rules of third-party sites or services accessed through the Proxies.

4.5 IP Reputation and Limitations: The User acknowledges that the Proxy IP addresses may be blocked, restricted, or flagged by external platforms at any time. ProxyHub does not guarantee any specific IP reputation ("cleanliness") nor its acceptance by third-party services. IP addresses may be changed, replaced, or reassigned for technical, operational, or security reasons without this constituting a breach of ProxyHub's contractual obligations.

4.6 Resellers and End Customers: Where ProxyHub allows a User to act as a reseller:

  • The reseller remains fully responsible for all activity carried out through the assigned Proxies, including the activity of its End Customers.
  • The reseller must ensure that its End Customers comply with these Terms (in particular Section 6 on Prohibited Activities).
  • ProxyHub has no contractual relationship with, and provides no direct support to, the reseller's End Customers.

4.7 Prohibition on Account Transfer: The User may not sell, assign, or transfer their Customer Profile or control of their credentials to third parties, except with the written agreement of ProxyHub or where the reseller function has been expressly agreed.

4.8 Technical Limits and Fair Use: In order to preserve the stability and security of the network, ProxyHub may apply technical limits (e.g., connection limits, destination restrictions). Circumventing or attempting to circumvent such measures is prohibited.

4.9 Identity Verification (KYC): Where ProxyHub detects suspicious activity, indicators of fraud, breaches of these Terms, security risks, or the need for regulatory compliance, it may, at its discretion, require completion of an identity verification (KYC) procedure. The KYC procedure may include submission of a valid identity document, a liveness check, and, where necessary, further information useful to verify the User's identity, the legitimacy of the use of the Service, or the source of funds. The information collected during the KYC procedure will be processed solely for purposes of security, fraud prevention, regulatory compliance, and protection of ProxyHub's infrastructure, as set out in the Privacy Policy. Any refusal, failure to complete, or failure to cooperate with the KYC verification within the required time may result in suspension or termination of the Service without any obligation of reimbursement, to the extent permitted by applicable law.

5. Use of the Proxies

5.1 Origin and Technical Nature of the Proxies. ProxyHub provides access to the Proxies through its own technical infrastructure, including through the use and aggregation of connectivity made available by network operators, connectivity providers, and other third-party technology providers. The availability, performance, technical characteristics, and continuity of the Service may depend, in whole or in part, on the services and infrastructure of such parties.

5.2 Compliant Use. The User undertakes to use the Service solely in compliance with applicable laws, these Terms, and the terms, conditions, and policies of third-party websites, services, or platforms accessed through the Proxies. Any breach of this article is subject to the indemnification obligation set out in Section 12.

5.3 Configuration Responsibility. The User is solely responsible for the configuration, use, and security of their own devices, software, applications, and systems used to access the Service. ProxyHub is not responsible for misconfigurations, technical incompatibilities, malfunctions, or uses carried out through third-party applications or services.

5.4 Service Limitations. ProxyHub does not guarantee the suitability of the Proxies for specific platforms, services, or purposes, nor the absence of restrictions, blocks, security checks, anti-fraud systems, or other measures adopted by third parties. The User's use of the Service is at their own sole responsibility and subject to the applicable conditions of the destination services (see Section 10).

5.5 Access to Platforms that Prohibit the Use of Proxies. The User acknowledges that certain platforms, websites, or third-party services expressly prohibit, under their own terms of service, the use of proxies, VPNs, or similar tools, and that accessing such platforms through the Service may result in the blocking, suspension, or closure of the User's account on those platforms. ProxyHub is not responsible for any consequences arising from the use of the Service on platforms that prohibit such tools, and such use is undertaken at the User's sole responsibility.

6. Prohibited Activities

6.1 The following uses are technically blocked and therefore strictly prohibited:

  • Fraud, phishing, scams, or social engineering.
  • DDoS attacks, network abuse, port scanning, or overloading of computer systems.
  • Sending spam or unsolicited messaging.
  • Circumvention of international sanctions or local regulations.
  • Distribution of, or access to, illegal content.
  • Infringement of intellectual property rights or the terms of use of third parties.
  • Unauthorized sharing of credentials, unauthorized resale of the Service, or use of the Proxies by parties other than the authorized User.

6.2 ProxyHub implements technical monitoring and usage logging measures to effectively detect, prevent, and block the abusive activities referred to in Section 6.1. The collection, processing, and retention of data arising from logging are governed by ProxyHub's Privacy Policy.

6.3 As part of its security and fraud prevention strategy, access to certain websites or network ports may be technically blocked upstream.

7. Pricing and Payments

7.1 The prices of the Service and the balance are expressed in United States Dollars ($) and shown on the website and in the client area. Payment is made in USDT, a stablecoin pegged 1:1 to the dollar: 1 USDT equals $1 of balance. Any applicable taxes (such as VAT) are indicated at the time of purchase where required by law.

7.2 Payment must be made in advance (prepaid) by topping up the Customer Profile balance in USDT on the TRC20, BEP20, Polygon, or ERC20 networks, or with other cryptocurrencies agreed with support. The User must send the exact amount shown, on the network shown, and within the time shown; network fees are borne by the User. Funds sent on a different network, with a different token, or to a wrong address may not be recoverable.

7.3 Provision of the Service automatically ceases upon expiry of the purchased period or exhaustion of the data traffic provided under the plan.

7.4 Balance and Auto-Renewal: The topped-up balance is used to purchase and renew Proxies from the client area. If the User turns on auto-renewal, ProxyHub renews the Proxy on the same plan shortly before expiry, charging the price to the balance; if the balance is insufficient, the User is notified by email and the Proxy expires on the scheduled date. Auto-renewal can be turned off at any time.

7.5 Referral Program: each User receives a personal invite link. When a new customer signs up through that link within 30 days, the inviting User receives on their balance a commission equal to the percentage shown in the client area on every confirmed top-up of the invited customer. Commissions are service credit usable for purchases and renewals. Self-referrals, multiple accounts of the same person and invites obtained through spam or misleading advertising are not allowed: in such cases ProxyHub may cancel the commissions and suspend the program for the User. ProxyHub may change or end the program at any time, without affecting commissions already credited.

7.6 Trial: the trial is a short-term Proxy, lasting as shown in the client area, which may be purchased repeatedly and for several Proxies at once. It does not renew automatically and the Proxy is deactivated when it expires. A User who passes it on to third parties remains responsible for their use of the Service under these Terms.

8. Refund and Withdrawal Policy

8.1 Loss of the Right of Withdrawal on Activated Services: Given the nature of the immediate provision of digital services and content (access to 5G mobile Proxies), the 14-day right of withdrawal does not apply once the Service has been activated or once the digital content has first been accessed. Upon activation, the User expressly consents to the immediate performance of the contract and acknowledges that this entails the loss of the right of withdrawal (pursuant to European consumer protection law).

8.2 Before completing the purchase, the Consumer will be asked to confirm their understanding and acceptance of the loss of the right of withdrawal following the immediate provision of the Service.

8.3 Withdrawal for Non-Activated Services: If the Service has not yet been activated and there has been no access to connectivity data, the Consumer retains the right to withdraw from the contract within 14 days of the purchase date. To exercise this right, the User must send ProxyHub an explicit statement of withdrawal via the Telegram support chat or by email to info@proxyhub.it. Once the Proxy has been activated or the data traffic has been consumed, no refund will be issued.

9. Suspension and Termination of the Contract

9.1 Right of Suspension: ProxyHub may, at its sole discretion, suspend, restrict, or interrupt access to the Service (including bandwidth reduction or blocking of specific destinations) immediately and without prior notice if:

  • The User breaches these Terms or applicable laws.
  • The User carries out or attempts to carry out the Prohibited Activities (Section 6).
  • There is a reasonable suspicion of fraud, abuse, or unauthorized access to the account.
  • The User's activity overloads the network or threatens the stability of the infrastructure.
  • There is a request from judicial authorities or law enforcement.
  • A payment is reversed, disputed (chargeback), or considered high-risk for fraud.
  • The User fails, refuses, or does not complete the KYC verification required under Section 4.9.

9.2 Temporary Suspension for Investigations: In the event of suspected abuse, ProxyHub may temporarily suspend the Service while verifications are carried out. The User may be asked to provide clarifications or information to verify the legitimacy of the use. Failure to cooperate will result in termination of the contract.

9.3 Termination by ProxyHub: ProxyHub may terminate the contract and permanently discontinue access where the breach of these Terms is serious or repeated, in the event of illegal activity, attempts to circumvent technical blocks, or in the event of payment disputes (chargebacks) initiated in bad faith.

9.4 Termination by the User: The User may discontinue use of the Service at any time. Cancellation of recurring plans prevents future renewals but does not entitle the User to refunds for periods already paid, except as provided in Section 8. The User may also delete their Customer Profile at any time from Settings › Data and privacy: deletion is permanent and immediately switches off active Proxies. After deletion, any remaining balance can no longer be used; requests regarding the balance must be sent to support before deleting the account.

9.5 Effects of Termination: Upon suspension or termination:

  • Access to the Service is disabled immediately.
  • Any license or authorization to use granted to the User ceases.
  • ProxyHub reserves the right to retain connection logs and related data for the period indicated in the Privacy Policy, and in any event within the limits permitted by applicable law, for purposes of security, abuse prevention, dispute resolution, and legal obligations.

9.6 Refunds in the Event of Breach: Where suspension or termination results from a breach of these Terms, the carrying out of prohibited activities, or refusal to complete KYC, the User will not be entitled to any refund for remaining days of service or for any unused balance.

10. Disclaimer of Warranty

10.1 The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law.

10.2 ProxyHub expressly disclaims any warranty regarding:

  • The uninterrupted, timely, secure, or error-free operation of the Service.
  • The suitability of the Proxies for specific purposes or for the User's expectations.
  • The reputation of, or absence of preventive blocks on, our IP addresses by external networks.
  • Acceptance, approval, or access to third-party platforms (including, by way of example, Google, Meta, TikTok, Instagram, or similar services).
  • Any interruptions or delays caused by failures of telephone networks or third-party infrastructure.

10.3 ProxyHub does not guarantee that use of the Service will make it possible to circumvent specific blocks or restrictions imposed by external computer systems.

10.4 Unless otherwise agreed in writing, ProxyHub does not guarantee any minimum level of Service availability (Service Level Agreement - SLA), nor does it guarantee the absence of interruptions, slowdowns, or variations in performance due to technical factors or third-party infrastructure.

11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, ProxyHub shall not be liable for indirect, incidental, special, or consequential damages, including, by way of example, loss of profits, lost revenue, loss of data, business interruption, or reputational harm arising from the use or inability to use the Service.

11.2 ProxyHub is not liable for any losses or blocks arising from:

  • Bans, restrictions, or sanctions applied to the User's profiles by social networks or third-party platforms.
  • Acts or omissions of third-party connectivity providers or network operators.
  • Technical issues beyond ProxyHub's reasonable control.

11.3 In any event, ProxyHub's overall liability for any claim or legal action arising from the use of the Service shall never exceed the amount actually paid by the User for the specific service period that gave rise to the claim for damages.

11.4 ProxyHub shall not be liable for any delays, interruptions, or unavailability of the Service caused by events beyond its reasonable control, including, by way of example and without limitation, failures of telecommunications networks, mobile operator issues, internet connectivity interruptions, malfunctions of infrastructure providers, cyberattacks, natural events, fires, wars, strikes, actions by authorities, or other force majeure events.

11.5 ProxyHub may carry out routine, extraordinary, or emergency maintenance on the Service's technical infrastructure. Such activities may result in temporary interruptions, restrictions, or reductions in performance. Where possible, ProxyHub will seek to minimize the impact on Users.

12. Indemnification Obligation and Intellectual Property

12.1 The User undertakes to indemnify, defend, and hold harmless ProxyHub, its contractors, employees, and partners from any claim for damages, loss, liability, or legal expense (including professional legal fees) arising from:

  • Improper or unlawful use of the Service by the User.
  • Breach of these Terms or of applicable regulations.
  • Any unlawful or harmful activity carried out through the Proxies assigned to the User.
  • Infringement of third-party rights.

12.2 This indemnification obligation applies regardless of whether the act is intentional or results from the User's negligence.

12.3 All rights relating to the Service, including software, systems, APIs, technical configurations, documentation, trademarks, logos, and infrastructure developed or used by ProxyHub, remain the exclusive property of ProxyHub or the respective rights holders. Use of the Service does not entail any transfer of intellectual property rights to the User.

13. Amendments to the Terms and Final Clauses

13.1 ProxyHub reserves the right to amend or update these Terms at any time for legal, technical, or commercial reasons.

13.2 Updated versions will be published on our official channels and will become effective upon publication.

13.3 Continued use of the Proxies after the publication of the changes constitutes the User's acceptance of the new Terms. If the User does not intend to accept the changes, they must discontinue use of the Service immediately.

13.4 Should any provision of these Terms be held invalid, void, or ineffective by a competent authority, the remaining provisions shall continue in full force and effect.

13.5 ProxyHub's failure to exercise any right provided for in these Terms does not constitute a waiver of that right nor prevent its subsequent exercise.

14. Governing Law and Jurisdiction

14.1 These Terms and any dispute arising from them or from the use of the Service shall be governed by and construed in accordance with the laws of the Italian Republic, without application of conflict-of-law rules.

14.2 Any dispute or legal proceeding shall be subject to the exclusive jurisdiction of the competent courts of Italy, subject to any mandatory consumer protection provisions providing for the jurisdiction of the consumer's country of residence.
